PharmaLegacy Biology Database

These Terms of Use (“Terms”) govern access to and use of the PharmaLegacy Biology Database, including any related website, registration portal, search interface, datasets, indexes, search results, downloads, tools, documentation, and related online services made available at https://db.pharmalegacy.com (collectively, the “Database”).

The Database is provided by PharmaLegacy (“PharmaLegacy,” “we,” “us,” or “our”). By registering for, accessing, or using the Database, you agree to these Terms. If you do not agree to these Terms, do not access or use the Database.

1.Purpose and Scope

The Database is provided solely for preclinical research purposes by approved registered users. It is intended to support non-clinical scientific research, preclinical study planning, target evaluation, disease-model review, pharmacology research, assay evaluation, biomarker review, scientific assessment, and related research activities.

The Database is not intended for clinical care, diagnosis, treatment, patient management, human-subject decision-making, or any other clinical or medical decision-making activity.

Use of the Database is limited to Authorized Research Purposes, as defined below. You may not use the Database for resale, redistribution, bulk extraction, creation of a competing database or product, clinical decision-making, or any other purpose not expressly permitted by these Terms.

2.Authorized Research Purposes

Authorized Research Purposes” means lawful, non-clinical, preclinical research activities conducted by an approved registered user or by the organization on whose behalf the approved registered user accesses the Database.

Authorized Research Purposes may include:

  1. preclinical study planning;
  2. disease-model review;
  3. assay evaluation;
  4. biomarker review;
  5. target evaluation;
  6. pharmacology research;
  7. scientific assessment;
  8. research collaboration;
  9. preparation of research-related documents, presentations, manuscripts, reports, grant materials, or study-planning materials; and
  10. other preclinical research activities approved by PharmaLegacy.

Authorized Research Purposes do not include:

  1. clinical diagnosis, treatment, or patient care;
  2. human-subject decision-making;
  3. use as medical, clinical, regulatory, legal, or professional advice;
  4. resale, sublicensing, or commercial redistribution of Database Content;
  5. bulk extraction, scraping, mirroring, or systematic copying;
  6. creation of a competing database, search tool, index, platform, model, or commercial data product;
  7. use of Database Content as a standalone commercial data product; or
  8. any use prohibited by these Terms.

3.Free Access After Registration and Approval

Access to the Database is free of charge after registration and approval by PharmaLegacy.

Registration does not guarantee access. PharmaLegacy may approve, reject, suspend, revoke, or limit access at its discretion, including where PharmaLegacy determines that an applicant or user does not meet eligibility, compliance, security, scientific-use, or other access requirements.

You agree to provide accurate, complete, and current registration information. PharmaLegacy may require business, institutional, scientific, professional, or other information to evaluate registration requests and administer access.

4.Authorized Users

You may use the Database only if you are an approved registered user.

If you access or use the Database on behalf of a company, academic institution, research organization, government agency, laboratory, or other entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” includes both you individually and the entity on whose behalf you access or use the Database.

You may not share your account, password, access credentials, download links, exported files, or Database access with any unauthorized person.

You may not allow another person to access the Database through your account or credentials, even if that person is part of your organization, unless PharmaLegacy has approved that person’s access or otherwise authorized such access in writing.

5.Account Security

You are responsible for maintaining the confidentiality of your username, password, authentication method, and other access credentials.

You agree to use reasonable safeguards to prevent unauthorized access to the Database and to promptly notify PharmaLegacy if you become aware of any unauthorized access, credential compromise, suspected security incident, or misuse of the Database.

PharmaLegacy may suspend or terminate access where it reasonably believes that an account has been compromised, misused, inactive, or used in violation of these Terms.

6.Database Content

The Database may include biological, pharmacological, preclinical, disease-model, assay, biomarker, study-design, experimental, technical, scientific, or related information made available by PharmaLegacy (“Database Content”).

Database Content is provided by PharmaLegacy. No ownership rights in the Database or Database Content are transferred to you.

PharmaLegacy may update, correct, supplement, modify, remove, restrict, or discontinue any Database Content at any time, with or without notice.

7.Permitted Use

Subject to these Terms, you may use the Database and Database Content solely for Authorized Research Purposes, including:

  1. searching, viewing, and reviewing Database Content;
  2. evaluating preclinical models, assays, biomarkers, study designs, targets, indications, or related scientific information;
  3. using reasonable excerpts of Database Content in research notes, research plans, study-design documents, scientific presentations, grant materials, manuscripts, reports, and other research-related materials;
  4. sharing limited excerpts of Database Content with collaborators, advisors, contractors, consultants, or personnel who are directly involved in your Authorized Research Purposes, provided that they are bound by confidentiality or use restrictions at least as protective as these Terms;
  5. downloading or exporting Database Content only where the Database expressly provides download or export functionality; and
  6. citing PharmaLegacy Database Content in a manner that is accurate, not misleading, and does not imply PharmaLegacy’s endorsement, validation, certification, approval, or sponsorship of your research, conclusions, product, service, publication, or other work.

Any use not expressly permitted by these Terms is prohibited unless PharmaLegacy provides prior written approval.

8.Limited Sharing for Research Collaboration

You may share limited excerpts of Database Content as reasonably necessary for Authorized Research Purposes, including with research collaborators, consultants, contractors, advisors, institutional personnel, or other persons directly involved in the relevant preclinical research activity.

Any permitted sharing must comply with all of the following requirements:

  1. the sharing must be limited to the minimum Database Content reasonably necessary for the Authorized Research Purpose;
  2. the sharing must not substitute for direct registration or approval by PharmaLegacy;
  3. the sharing must not disclose substantial portions of the Database;
  4. the sharing must not enable unauthorized access to the Database;
  5. the recipient must be informed that the Database Content is subject to use restrictions;
  6. the recipient must be bound by confidentiality or use restrictions at least as protective as these Terms; and
  7. the sharing must not imply that PharmaLegacy endorses, validates, certifies, approves, or sponsors the recipient’s work.

Nothing in this section permits resale, republication, public posting, bulk disclosure, commercial redistribution, automated extraction, or creation of a competing database, product, service, or platform.

9.Prohibited Use

You must not, directly or indirectly:

  1. use the Database for clinical diagnosis, treatment, patient care, patient selection, human-subject decision-making, or medical advice;
  2. use the Database as the sole basis for regulatory, safety, dosing, toxicology, investment, commercial, or development decisions;
  3. copy, scrape, crawl, harvest, mirror, cache, bulk download, bulk export, or systematically extract Database Content except where expressly permitted by Database functionality;
  4. use bots, spiders, scripts, automated tools, or other non-human access methods without PharmaLegacy’s prior written approval;
  5. reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, schema, algorithms, scoring methods, ranking methods, or non-public technical features of the Database;
  6. sell, resell, rent, sublicense, redistribute, publish in bulk, disclose in bulk, transfer, or otherwise make substantial portions of the Database or Database Content available to any third party;
  7. create, train, validate, benchmark, improve, or support any artificial-intelligence model, machine-learning model, commercial database, search tool, index, or competing product using Database Content without PharmaLegacy’s prior written approval;
  8. remove, obscure, or alter any proprietary notice, attribution, disclaimer, watermark, or source-identification information;
  9. submit personal health information, patient-identifiable information, human-subject data, sensitive personal information, confidential third-party data, or trade secrets to the Database;
  10. attempt to identify, re-identify, contact, or profile any individual from any information in or related to the Database;
  11. interfere with, disrupt, overload, probe, scan, test, or compromise the Database or related systems;
  12. bypass access controls, registration requirements, authentication systems, usage limits, download limits, or security measures;
  13. upload malware, malicious code, corrupted files, or harmful content;
  14. use the Database in violation of applicable laws, regulations, institutional policies, research-integrity requirements, animal-welfare requirements, biosafety requirements, export-control laws, sanctions laws, or data-protection laws; or
  15. state or imply that PharmaLegacy endorses, validates, certifies, approves, or sponsors your research, product, service, publication, or conclusions unless PharmaLegacy has provided prior written approval.

Nothing in this section prohibits limited citation or limited use of reasonable excerpts of Database Content for Authorized Research Purposes, provided that such use complies with these Terms.

10.Preclinical Research Compliance

You are solely responsible for ensuring that your use of the Database and any related research comply with all applicable laws, regulations, institutional policies, ethical standards, scientific standards, permits, and approvals.

This includes, where applicable, animal care and use review, biosafety review, institutional approval, research-integrity requirements, export-control review, data-protection review, and any other approval required for your research activities.

You are responsible for independently evaluating all Database Content before using it in study design, experimental planning, model selection, protocol development, regulatory strategy, publication, or other research activity.

11.No Clinical, Medical, or Regulatory Advice

The Database is provided for preclinical research information only.

The Database does not provide medical advice, clinical advice, diagnosis, treatment recommendations, patient-care guidance, veterinary advice, regulatory advice, legal advice, or professional advice of any kind.

You must not use Database Content as a substitute for professional judgment, independent scientific review, qualified regulatory advice, validated experimental data, or applicable institutional review.

12.Accuracy and Scientific Limitations

Database Content may be incomplete, preliminary, updated, corrected, study-specific, model-specific, condition-specific, or subject to scientific uncertainty.

Preclinical research information may not be predictive of clinical outcomes, regulatory acceptance, product performance, safety, efficacy, or commercial success. You are responsible for assessing the relevance, limitations, assumptions, reproducibility, and applicability of any Database Content to your specific research purpose.

PharmaLegacy does not warrant that Database Content is complete, current, accurate, reproducible, validated for your intended use, or suitable for any specific compound, target, indication, model, assay, study, protocol, regulatory strategy, or product-development program.

13.User Submissions

The Database may allow you to submit registration information, queries, comments, annotations, feedback, files, or other materials (“User Submissions”).

You represent and warrant that your User Submissions:

  1. are accurate to the best of your knowledge;
  2. do not violate any law, regulation, institutional policy, confidentiality obligation, contractual obligation, or third-party right;
  3. do not contain patient-identifiable information, protected health information, human-subject data, sensitive personal information, confidential third-party information, or trade secrets; and
  4. do not contain malware, malicious code, or unlawful content.

Unless otherwise agreed in writing, you grant PharmaLegacy the right to host, process, transmit, display, reproduce, analyze, and use User Submissions as reasonably necessary to operate, secure, maintain, improve, and administer the Database.

You are solely responsible for your User Submissions and for ensuring that you have all rights, permissions, consents, and approvals necessary to provide them to PharmaLegacy.

14.Feedback

If you provide comments, corrections, suggestions, ideas, or other feedback about the Database (“Feedback”), PharmaLegacy may use the Feedback without restriction or compensation to you, provided that PharmaLegacy’s use does not disclose your confidential information in violation of a separate written confidentiality obligation.

15.Intellectual Property

The Database Content, PharmaLegacy search configurations, taxonomies, metadata, documentation, visual designs, trademarks, logos, and related PharmaLegacy materials are owned or lawfully controlled by PharmaLegacy.

You receive only a limited, revocable, non-exclusive, non-transferable right to access and use the Database as expressly permitted by these Terms.

No rights are granted by implication, estoppel, or otherwise. PharmaLegacy reserves all rights not expressly granted.

You may not use PharmaLegacy’s name, trademarks, service marks, logos, trade names, or other brand identifiers except as expressly permitted by these Terms or approved by PharmaLegacy in writing.

16.Confidentiality

Certain Database Content, documentation, technical information, registration information, access credentials, communications, or other information may be designated confidential or should reasonably be understood to be confidential (“Confidential Information”).

You must protect Confidential Information using at least reasonable care and must not disclose it to any third party except as expressly permitted by these Terms, expressly permitted by PharmaLegacy in writing, or required by law.

Your confidentiality obligations survive termination of your access to the Database.

17.Privacy

Your access to and use of the Database may involve the collection and processing of personal information, including registration information and technical information related to use of the Database.

You must not submit patient-identifiable information, protected health information, human-subject information, sensitive personal information, or regulated clinical data to the Database.

Any personal information collected by PharmaLegacy will be handled in accordance with PharmaLegacy’s applicable privacy policy and applicable law. PharmaLegacy’s public Privacy Policy describes collection and use of personal information when users visit or complete a form on PharmaLegacy.com, including information submitted through forms or email.

18.Data Security

PharmaLegacy may use technical, administrative, and organizational safeguards to protect the Database. However, no system is completely secure.

You are responsible for using appropriate security measures when accessing, downloading, storing, transmitting, or using Database Content, including any measures required by your organization, applicable law, and good research-data practices.

You must promptly notify PharmaLegacy if you become aware of unauthorized access to the Database, unauthorized use of credentials, unauthorized disclosure of Database Content, or any suspected security incident involving the Database.

19.Availability and Changes to the Database

PharmaLegacy may modify, suspend, restrict, discontinue, or replace all or part of the Database at any time, with or without notice.

PharmaLegacy may also impose or modify registration requirements, approval requirements, usage limits, download limits, technical controls, security requirements, or access conditions.

PharmaLegacy is not liable for any interruption, delay, unavailability, data loss, or modification of the Database.

20.Suspension and Termination

PharmaLegacy may suspend or terminate your access to the Database at any time if PharmaLegacy reasonably determines that:

  1. you violated these Terms;
  2. your registration information is inaccurate, incomplete, or no longer current;
  3. your account has been compromised or misused;
  4. your use creates legal, scientific, regulatory, security, operational, reputational, or technical risk;
  5. continued access may violate applicable law or institutional requirements; or
  6. suspension or termination is necessary to protect PharmaLegacy, the Database, or other users.

Upon termination, you must stop accessing and using the Database. If PharmaLegacy requests deletion or return of Database Content, you must comply unless retention is required by law or a written agreement with PharmaLegacy.

Sections intended by their nature to survive termination will survive, including sections concerning prohibited use, intellectual property, confidentiality, privacy, disclaimers, limitation of liability, indemnification, export controls, governing law, and dispute resolution.

21.Disclaimers

The Database and Database Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by law, PharmaLegacy disclaims all warranties, including warranties of accuracy, completeness, currency, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing, usage, or trade practice.

PharmaLegacy does not warrant that:

  1. the Database will be uninterrupted, secure, or error-free;
  2. Database Content will be accurate, complete, current, or suitable for your intended use;
  3. search results will identify all relevant information;
  4. any preclinical model, assay, biomarker, study design, or scientific conclusion will be predictive, reproducible, clinically translatable, regulatory-acceptable, or commercially useful; or
  5. defects or errors will be corrected.

22.Limitation of Liability

To the maximum extent permitted by law, PharmaLegacy will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost data, loss of goodwill, research delay, regulatory delay, failed experiments, failed studies, product-development losses, or business interruption, even if PharmaLegacy has been advised of the possibility of such damages.

To the maximum extent permitted by law, PharmaLegacy’s total aggregate liability arising out of or relating to the Database or these Terms will not exceed USD $100.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the maximum extent permitted by law.

23.Indemnification

You agree to defend, indemnify, and hold harmless PharmaLegacy from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your use or misuse of the Database;
  2. your User Submissions;
  3. your violation of these Terms;
  4. your violation of applicable law, regulation, institutional policy, contractual obligation, or third-party right;
  5. your research, experiments, studies, protocols, publications, regulatory activities, products, services, or business decisions based on Database Content; or
  6. unauthorized access caused by your failure to protect credentials, systems, or exported Database Content.

24.Export Controls and Sanctions

You must comply with all applicable export-control, sanctions, import, customs, anti-boycott, and trade-compliance laws.

You may not access, use, export, re-export, transfer, or disclose the Database or Database Content in violation of those laws or for any prohibited end use.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions and that you are not identified on any applicable restricted-party list.

25.Publicity

You may not use PharmaLegacy’s name, logos, trademarks, service marks, trade names, or other identifiers in press releases, marketing materials, websites, customer lists, regulatory communications, or public statements without PharmaLegacy’s prior written consent, except as required by law or as permitted by these Terms.

You may not state or imply that PharmaLegacy has reviewed, endorsed, approved, validated, certified, or sponsored your research, conclusions, products, services, publications, or other work unless PharmaLegacy has provided prior written approval.

26.Publications and Citations

You may cite limited excerpts of Database Content in manuscripts, presentations, posters, grant materials, reports, or similar research-related materials, provided that the citation is accurate, not misleading, limited to what is reasonably necessary for the Authorized Research Purpose, and does not disclose substantial portions of the Database.

Any publication or public disclosure using Database Content must not:

  1. reproduce substantial portions of the Database;
  2. disclose Database Content in a way that substitutes for access to the Database;
  3. imply PharmaLegacy’s endorsement, validation, certification, approval, or sponsorship;
  4. mischaracterize the Database Content or its scientific limitations; or
  5. violate confidentiality, privacy, export-control, research-integrity, animal-welfare, biosafety, or other applicable requirements.

PharmaLegacy may request correction of any inaccurate, misleading, or unauthorized reference to the Database or Database Content.

27.Changes to These Terms

PharmaLegacy may update these Terms from time to time. Updated Terms may be posted through the Database or otherwise made available to registered users.

Your continued use of the Database after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Database.

28.Governing Law and Dispute Resolution

These Terms are governed by the laws of [insert governing law jurisdiction], without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Database will be resolved exclusively in the courts located in [insert venue], unless PharmaLegacy agrees otherwise in writing.

29.Force Majeure

PharmaLegacy will not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, epidemic or pandemic events, labor disputes, war, terrorism, civil unrest, government action, power failures, telecommunications failures, internet failures, cyberattacks, cloud-service failures, supply-chain disruption, or acts of God.

30.Assignment

You may not assign or transfer these Terms or your Database access without PharmaLegacy’s prior written consent.

PharmaLegacy may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, corporate transaction, change of control, or operation of law.

31.Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

32.No Waiver

PharmaLegacy’s failure to enforce any provision of these Terms is not a waiver of its right to do so later. A waiver is effective only if in writing and signed by an authorized representative of PharmaLegacy.

33.Entire Agreement

These Terms, together with any applicable registration terms, privacy policy, written access approval, or written agreement between you and PharmaLegacy, constitute the entire agreement between you and PharmaLegacy regarding the Database and supersede prior or contemporaneous understandings on that subject.
